Terms of Use

Effective April 22, 2026. These Terms of Use govern access to the GoodTalk website, the GoodTalk iPhone app, and related Premium and AI-assisted features.

GoodTalk is operated by Aphelion Software in Ontario, Canada. By using GoodTalk, you agree to these terms, any applicable App Store rules, and the related Privacy Policy.

Using GoodTalk

1. Who these terms cover

These Terms of Use apply to the GoodTalk website, the GoodTalk iPhone app, Premium subscriptions, and related features and services that link to these terms. In these terms, “GoodTalk,” “we,” “our,” and “us” refer to Aphelion Software.

2. Eligibility

You may use GoodTalk only if you can legally form a binding agreement under the laws that apply to you. GoodTalk is not intended for children under 13, or under any higher minimum age required by local law.

3. Accounts and sign-in

You are responsible for the activity that occurs under your account, for keeping your device and sign-in methods secure, and for providing accurate information where the app asks for it. You must notify us if you believe your account has been accessed without permission.

4. Acceptable use

You may not use GoodTalk to violate law, abuse other people, interfere with the service, attempt to access accounts or data that are not yours, reverse engineer protected parts of the service where prohibited by law, or use the app in ways that create safety, fraud, spam, or platform-abuse risks. You also may not misrepresent AI-assisted output as human-only work where that would be misleading, or use GoodTalk output as the sole basis for legal, medical, employment, insurance, housing, educational, financial, or other high-impact decisions about a person.

AI and subscriptions

AI-assisted messaging

Coach, Touch-up, and Aria are product features intended to help with drafting, refinement, communication support, and in-chat assistance. Artificial intelligence is probabilistic and may not always be accurate, even when a response sounds confident or well phrased.

You should not rely on AI output as a sole source of truth or as a substitute for professional advice. You must evaluate output for accuracy, tone, and appropriateness before using or sharing it, and you remain responsible for the messages you send and the decisions you make using AI-assisted suggestions.

Limits of AI output

GoodTalk output may be incomplete, incorrect, or offensive, and it does not necessarily represent the views of GoodTalk or Aphelion Software. If a situation involves safety, abuse, self-harm, emergencies, urgent conflict, legal questions, or health concerns, do not rely on GoodTalk as your only source of help. Human review is expected before you rely on or share output in sensitive contexts.

Premium, billing, and trials

Premium subscriptions, free trials, billing, renewal, cancellation, and refunds are handled through the App Store. Subscriptions renew automatically unless canceled through your Apple account settings. Trial availability and pricing may vary by App Store eligibility, storefront, taxes, and prior subscription history.

App Store rules

If you access GoodTalk through Apple’s App Store, you also agree to the App Store terms and policies that apply to your purchase, device, and subscription management. Apple handles billing and subscription management for in-app purchases made through the App Store.

Content and limits

5. Your content

You keep ownership of the content you provide to GoodTalk, subject to the rights needed to operate the service. By using GoodTalk, you give us permission to host, process, transmit, and display your content as needed to run chats, support AI-assisted features, maintain the app, and provide support.

You represent and warrant that you have all rights, permissions, and authority needed to provide your content to GoodTalk, and that your use of the service and submitted content will not violate law, these Terms, or the rights of any other person.

6. Our intellectual property

GoodTalk, its branding, interface, software, designs, and related materials are owned by Aphelion Software or its licensors and are protected by intellectual property laws. These terms do not grant you ownership of the service itself.

7. Suspension or termination

We may suspend, limit, or terminate access if we reasonably believe you have violated these terms, created safety or abuse risks, attempted fraud, or used the service in a way that harms GoodTalk, other users, or the platform. You may stop using GoodTalk at any time.

8. Service availability and changes

GoodTalk may change, improve, suspend, or discontinue features over time. We do not guarantee uninterrupted availability, error-free operation, or that every feature will remain exactly the same in every version or region. We may also modify, remove, or limit features when needed for legal, safety, technical, business, or platform reasons.

9. Disclaimer of warranties

To the extent permitted by law, GoodTalk is provided on an “as is” and “as available” basis. Aphelion Software disclaims implied warranties to the extent allowed by law, and will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or business interruption arising out of or related to your use of GoodTalk.

Any use of AI-generated output is at your sole risk. You agree not to treat output as a sole source of factual truth, and not to use it as a substitute for professional judgment, therapy, medical advice, legal advice, crisis response, or other expert guidance.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of certain damages, so some of the disclaimers, exclusions, or limitations in these Terms may not apply to you.

10. Limitation of liability

To the maximum extent permitted by applicable law, Aphelion Software and its affiliates, licensors, service providers, and distributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, use, or business opportunities arising out of or related to GoodTalk.

To the maximum extent permitted by applicable law, the total aggregate liability of Aphelion Software for any claim arising out of or relating to GoodTalk or these Terms will not exceed the lesser of the amount you paid for the specific service giving rise to the claim during the 12 months before the claim arose or CAD $100.

11. Indemnity

To the extent permitted by law, you will indemnify and hold harmless Aphelion Software, its affiliates, and its personnel from and against claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your content, your misuse of GoodTalk, your violation of these Terms, or your violation of another person’s rights.

12. Changes to these terms

We may update these Terms from time to time to reflect changes to the service, the law, security needs, or business operations. When we make material changes, we may update the effective date on this page and provide additional notice where appropriate. If you continue using GoodTalk after updated Terms take effect, that continued use means you accept the revised Terms.

13. General legal terms

If any provision of these Terms is found unenforceable, the remaining provisions will stay in effect to the maximum extent permitted by law. A failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent, but we may assign them as part of a merger, acquisition, reorganization, or transfer of the service or related business.

These Terms, together with any applicable App Store rules and the Privacy Policy, form the entire agreement between you and Aphelion Software regarding GoodTalk.

14. Consumer rights carveout

Nothing in these Terms is intended to limit or waive any non-waivable rights or remedies you may have under applicable consumer protection or other mandatory laws. Any disclaimer, exclusion, or limitation in these Terms applies only to the maximum extent permitted by law.

15. Governing law and venue

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from or related to these Terms or the service will be brought in the courts located in Ontario, Canada.
